1. Acceptance of Terms

Welcome to Peak Roster ("we," "us," "our," or "Company"). These Terms of Service ("Terms") constitute a legally binding agreement between you, the end user ("you" or "User"), and Peak Roster regarding your use of our shift scheduling platform and related services (the "Service").

By accessing, browsing, or using Peak Roster, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you may not use the Service. Your continued use of the Service constitutes your acceptance of any modifications to these Terms.

2. Service Description

Peak Roster provides cloud-based shift scheduling software designed for ski patrol operations. The Service allows ski patrol administrators to create, manage, and communicate shift schedules; track patroller availability; and send real-time notifications to team members. The Service is provided on an annual subscription basis.

3. User Responsibilities and Conduct

You agree that you will:

  • Use the Service solely for lawful purposes and in accordance with these Terms
  • Provide accurate, current, and complete information during account registration
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use
  • Be responsible for all activities that occur under your account
  • Comply with all applicable federal, state, and local laws and regulations
  • Not use the Service for any unlawful or fraudulent purpose

You agree that you will not:

  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated tools (bots, scrapers, etc.) to access the Service without permission
  • Upload or transmit viruses, malware, or other harmful code
  • Harass, threaten, defame, or abuse other users
  • Reverse engineer, decompile, or attempt to derive the source code of the Service

4. Subscription and Billing

Annual Subscription: Peak Roster offers simple annual subscription plans, including a Small Patrol Starter plan at $299/year for patrols with up to 30 active patrollers and an Unlimited plan at $699/year. Your selected subscription grants access to the Service for the duration of your annual term.

Billing: You authorize Peak Roster to charge your provided payment method for all fees and charges incurred under your account. There is no setup fee, and standard onboarding may include transfer of your existing patrol data from spreadsheets or other software.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period, and we will issue a prorated refund for the unused portion of your annual term. To cancel, contact us at support@peakroster.com or manage your subscription in your account settings.

Changes to Pricing: Peak Roster reserves the right to modify subscription pricing with at least 30 days' notice. Price changes will not affect your current annual term if you are an active subscriber.

5. Intellectual Property Rights

Peak Roster and all content, features, and functionality (including but not limited to software, source code, design, graphics, and logos) are the exclusive property of Peak Roster, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws.

Your use of the Service grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal or organizational purposes. You may not reproduce, distribute, or transmit any content from the Service without our prior written consent.

6. User Data and Privacy

Data You Provide: By using Peak Roster, you may input and store patroller information, shift schedules, contact details, and other operational data ("User Data"). You retain full ownership and responsibility for all User Data you upload to the Service.

Data Security: Peak Roster implements industry-standard security measures to protect your User Data. However, no system is completely secure. You acknowledge that Peak Roster cannot guarantee absolute security and shall not be liable for any unauthorized access to or use of your data.

Data Retention: Upon account termination, Peak Roster will retain your User Data for 1 year before permanent deletion. During this period, you may request export or permanent deletion of your data. After 1 year, all data will be permanently deleted.

7. Limitations of Liability

Disclaimer of Warranties: The Service is provided "as is" and "as available" without warranties of any kind, either expressed or implied. Peak Roster disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Peak Roster does not warrant that the Service will be uninterrupted, error-free, or secure. Peak Roster does not warrant that defects will be corrected or that the Service meets your expectations.

Limitation of Damages: To the fullest extent permitted by law, Peak Roster shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to damages for lost profits, lost revenue, lost data, or business interruption, even if Peak Roster has been advised of the possibility of such damages.

Peak Roster's total liability to you for any claim arising from or related to the Service shall not exceed the total fees you paid for the Service in the 12 months preceding the claim.

8. Service Availability and Maintenance

Peak Roster does not guarantee continuous, uninterrupted availability of the Service. While we strive to maintain high uptime standards, the Service may be unavailable due to planned maintenance, updates, or unforeseen technical issues.

Peak Roster reserves the right to perform scheduled maintenance and updates during or outside regular hours. We will make reasonable efforts to notify users of planned maintenance in advance.

9. Account Suspension and Termination

Peak Roster reserves the right to suspend or terminate your account immediately, without notice, if:

  • You violate any provision of these Terms
  • You engage in unlawful or fraudulent activity
  • You harass or abuse Peak Roster staff or other users
  • Your account is used for any illegal purpose
  • Peak Roster believes suspension is necessary to protect the Service or other users

Upon termination, your right to access the Service will immediately cease. You remain responsible for any outstanding fees or charges incurred prior to termination.

10. Indemnification

You agree to indemnify, defend, and hold harmless Peak Roster, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws or regulations.

11. Third-Party Links and Content

The Service may contain links to third-party websites and services. Peak Roster does not endorse, control, or assume responsibility for any third-party content, products, or services. Your use of third-party links is at your own risk and subject to their terms and privacy policies. Peak Roster is not liable for any loss or damage resulting from your interaction with third-party websites.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Oregon, and you irrevocably consent to the jurisdiction and venue of such courts.

13. Changes to These Terms

Peak Roster reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Service or via email notification. Your continued use of the Service following the posting of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other policies published on the Service, constitute the entire agreement between you and Peak Roster regarding the Service and supersede any prior agreements, understandings, or negotiations between you and Peak Roster.
